Meeting minutes are more than just a quick record of the history of what happened in a given meeting. Meeting minutes for organizations and for HOAs in particular serve as an auditable record of key decisions that were made that authorize the board or others to act on the association's behalf.

These minutes are often used as proof when the association, as a true "corporation" in the state in which it operates, seeks to open bank accounts, get loans, or otherwise take actions requiring an auditable record of these decisions. With this in mind, below is a set of guidance as to exactly what constitutes a solid set of meeting minutes for these purposes.

1. Meeting identity

  • Association legal name - Already loaded in Vlge when you get setup

  • Association address / community name - Already in Vlge

  • Meeting type: regular, special, annual, executive session, emergency - Added for each meeting upon setup in Meeting Manager

  • Date, start time, end time, timezone: In Vlge when the meeting is setup

  • Physical/virtual location: Included

  • Meeting ID / VLGE record ID: Added by Vlge when meeting is setup

  • Whether notice was given: Included in Vlge system records when meeting is setup

  • Agenda version used: Included automatically when Meeting Manager is used

2. Attendance and authority

  • Board members present/absent (with title): Recorded in Vlge minutes

  • Manager / invited guests: Per agenda/Meeting plan

  • Quorum requirement: Set at the organization level in Vlge

  • Whether quorum was met: Recorded in Minutes

  • Secretary / minutes taker: Secretary per Organization rule

3. Prior minutes approval

Include whether previous minutes were:

  • Approved

  • Approved with corrections

  • Deferred (rare)

4. Motion-level proof

For every decision, the PDF should generate a structured block:

  • Agenda item number

  • Motion title

  • Full motion text

  • Moved by

  • Seconded by

  • Discussion summary, optional

  • Vote method: voice, roll call, electronic, unanimous consent

  • Individual votes:

    • Yes

    • No

    • Abstain

    • Absent

    • Recused

  • Final result: passed / failed / tabled

  • Effective date

  • Related document attachment

  • Timestamp when motion opened

  • Timestamp when motion closed

5. Officer / board installation proof

For elections or officer appointments, include:

  • Position filled

  • Person elected / appointed

  • Term start date

  • Term end date

  • Vote result

  • Whether the person accepted the role

  • Prior holder, if applicable

  • Source of authority: election, board appointment, vacancy fill, annual meeting

Example:

"The Board appointed Jane Smith as Secretary, effective May 2, 2025, to serve until December 31, 2027, or until a successor is duly elected or appointed."

6. Bank/KYC-specific resolutions

You should create a special β€œBanking Resolution” action type. It should capture:

  • Bank name

  • Account purpose

  • HOA/POA name

  • Authorized signers

  • Authorized platform/admin user

  • Authority to open account

  • Authority to transfer funds

  • Authority to receive statements

  • Whether Vlge/management company may act as agent

  • Any limits or restrictions

7. Attachments and evidence

Each PDF should list attachments included or linked:

  • Agenda

  • Transcript

  • Audio recording reference

  • Financial reports

  • Governing documents

  • Banking documents

  • Board roster

  • Election results

  • Signed resolution

8. Approval and certification

  • Draft created date

  • Edited by

  • Approved by board on date

  • Approval vote or unanimous consent

  • Secretary certification

  • Optional president certification

  • Vlge generated timestamp

Example certification:

"I certify that the foregoing is a true and correct copy of the minutes/action record approved by the Board of Directors of [Association Name] on [Date]."

9. Audit trail

Add a final audit page or footer: (Included in Vlge generated Meeting Minutes)

  • Vlge document ID

  • Association ID

  • Meeting ID

  • Generated at timestamp

  • Generated by user

  • Approval status: draft / approved / amended / superseded
